Terms of Service

1. Who operates Gameplan

Gameplan is an athlete business platform operated by Edisonlab L.L.C-FZ, trading as Gameplan ("Gameplan", "we", "us"). These Terms govern the website, athlete profiles, accounts, communities, subscriptions, courses, digital content, payments, and AI manager features we provide (the "Service"). By creating an account, buying an offer, or using the Service, you agree to these Terms and the policies linked below.

Gameplan Labs, Inc. and other affiliated service providers may support parts of the Service or sell a specifically identified offer. The seller and merchant of record for a purchase is the entity identified at checkout or on the receipt.

2. Eligibility and accounts

You must be at least 18 years old and able to enter a binding agreement. You must provide accurate information, protect your credentials, and notify us promptly of unauthorized access. You are responsible for activity performed through your account unless applicable law provides otherwise. You may not impersonate another person or create an account for someone else without authority.

3. The Service

Gameplan gives athletes a public profile, business tools, private communities, digital products, courses, fan offers, inbox and brand workflows, and an AI athlete manager. Athletes decide what they offer, what they charge, and what content they publish. Availability varies by athlete, country, payment method, and feature.

Gameplan may improve, replace, suspend, or discontinue features. We will give reasonable notice when a material change affects an active paid service where practical and legally required.

4. Athlete responsibilities and content

Athletes retain ownership of original content they provide. They grant Gameplan a non-exclusive, worldwide license to host, process, reproduce, display, distribute, and technically adapt that content to operate, secure, support, and promote the Service and the athlete's offers. The license ends when the content is deleted, subject to backups, legal obligations, completed transactions, and content already shared at the athlete's direction.

Athletes must have the rights and permissions needed for their content, name, likeness, music, footage, claims, offers, and fulfillment. They must describe prices and benefits accurately, honor paid offers, follow sporting-body and sponsor obligations, and comply with law and our Acceptable Use Policy.

5. Subscriptions and communities

A subscription renews at the interval and price shown at checkout until cancelled. You may cancel through your account or support. Cancellation stops future renewal and access normally continues through the paid period. Partial-period refunds are not automatic, but mandatory consumer rights still apply.

Community access is personal and may not be shared, scraped, recorded, or redistributed. Athlete posts and responses are created by the athlete or their authorized tools. Unless an offer expressly promises a specific response or deliverable, access does not guarantee personal replies, competition results, or any business or financial outcome.

6. Courses and digital products

Courses are one-time digital purchases unless checkout expressly says otherwise. The offer description states the price, currency, included material, and access model. "Lifetime access" means the account receives a continuing entitlement to that course without a recurring fee. Access can end after a full refund, payment reversal, fraud, unlawful use, material breach, or permanent discontinuation of the Service. It does not guarantee that every hosting technology or feature will remain unchanged forever.

Do not copy, resell, publish, share credentials for, or distribute paid course material. Training content is educational information, not medical advice. Follow appropriate professional guidance and stop any exercise that is unsafe for you.

7. Payments, merchant of record, and athlete payouts

Stripe processes card and other supported payment methods. Gameplan does not store full card numbers or card security codes. Depending on the offer, payment may use the Gameplan platform account or a connected athlete account. The checkout and receipt identify the seller or merchant of record responsible for the transaction, customer support, refunds, and disputes.

Platform fees, processing fees, taxes, payout method, and payout timing may differ by offer and athlete agreement. They are shown or agreed through the applicable checkout, onboarding, or dashboard. Some athlete payouts use Stripe Connect; others are settled manually after verified payment fees, refunds, and disputes. We do not promise a universal payout schedule.

You authorize the amount and currency displayed at checkout. Taxes may be added when required. A chargeback does not replace contacting support about a fulfillment problem, although it does not limit rights provided by your payment provider or law.

8. Refunds and payment reversals

We provide refunds when required by law, when an offer's stated refund policy allows one, or when Gameplan confirms duplicate billing or a material access or fulfillment failure that cannot be corrected. A full course refund revokes the course entitlement. A dispute may suspend access while the payment provider reviews it. Tips are normally final because they are voluntary, but fraud, duplicate charges, and mandatory rights remain reviewable.

Contact support@gameplan.io with the account email and transaction details. We handle payment support directly; athletes are not responsible for chasing failed cards or resolving platform payment mechanics.

9. AI manager and communications

The AI athlete manager can organize context, analyze messages, research, draft content, prepare business communications, and operate approved workflows. AI output may be incomplete or wrong and must not be treated as legal, financial, medical, or professional advice. Important external actions remain subject to the approval and controls described in the relevant feature.

When you connect email, Telegram, social handles, or other services, you authorize Gameplan to process the information needed to provide that integration. You remain responsible for instructions you approve and for checking drafts before they are sent or published.

10. Safety, moderation, and reports

You must follow our Acceptable Use Policy and Community Guidelines. We may investigate reports, restrict content, suspend features, or terminate accounts based on severity, history, legal obligations, user safety, payment risk, and available evidence. Severe conduct may lead to immediate action. You may appeal an enforcement decision by contacting support.

11. Intellectual property and reports

The Gameplan software, design, trademarks, and platform content are owned by Gameplan or its licensors. These Terms give you a limited, revocable, non-transferable right to use the Service for its intended purpose. Copyright reports and counter-notices may be submitted through our DMCA process.

12. Suspension and termination

You may close your account through available account tools or support. We may restrict or terminate access for non-payment, fraud, security risk, illegal activity, material policy breaches, or when required by law. We will account for active subscriptions, paid entitlements, refunds, and athlete balances according to the transaction records and applicable law.

13. Disclaimers and liability

The Service is provided on an "as available" basis. To the extent permitted by law, Gameplan disclaims implied warranties and is not liable for indirect, incidental, special, or consequential loss. Gameplan's aggregate liability for a claim will not exceed the greater of USD 100 or the amount you paid through the Service during the 12 months before the event giving rise to the claim. These limits do not exclude liability or consumer rights that cannot legally be excluded.

14. Governing law and disputes

Contact us first so we can try to resolve a dispute. These Terms are governed by the laws of the United Arab Emirates as applied in Dubai, without limiting mandatory consumer protections that apply where you live. Courts with jurisdiction in Dubai may hear disputes unless applicable law gives you the right to bring a claim elsewhere.

15. Changes and contact

We may update these Terms to reflect product, legal, security, or operational changes. We will post the effective date and provide additional notice for material changes when appropriate. Changes do not retroactively reduce completed purchase rights where prohibited by law.
